(a) Welcome to kritical.net / kritical.au/ kritical.net.au (Website). The Website facilitates interactions between:

making it easier for the Receiver and the Provider to locate, communicate, arrange payment and deliver the services in a fast and secure manner (Services).

(b) The Website is operated by Kritical Pty Ltd (ACN 687048086). Access to and use of the Website, or any of its associated products or Services, is provided by Kritical Pty Ltd. Please read these terms and conditions (Terms) carefully.

By using, browsing and/or reading the Website, this signifies that you have read, understood and agree to be bound by the Terms. If you do not agree with the Terms, you must cease usage of the Website, or any of its products or Services, immediately.

Kritical Pty Ltd reserves the right to review and change any of the Terms by updating this page at its sole discretion. When Kritical Pty Ltd updates the Terms, it will use reasonable endeavours to provide you with notice of updates of the Terms. Any changes to the Terms take immediate effect from the date of their publication.

You accept the Terms by registering for the Services and/or making any payment as required under the Terms for use of the Services. You may also accept the Terms by clicking to accept or agree to the Terms where and if this option is made available to you by Kritical Pty Ltd in the user interface.

(a) In order to access the Services, the Receiver is required to register for an account through the Website (Account).

(b) As part of the registration process, or as part of your continued use of the Services, you may be required to provide personal information about yourself, including:

• Email address
• Preferred username
• Mailing address
• Telephone number
• Password
• Any and all other requirements from our upstream suppliers and distributors.

(c) You warrant that any information you give to Kritical Pty Ltd in the course of completing the registration process will always be accurate, correct and up to date.

(d) Once you have completed the registration process, you will be a registered customer of the Website (Customer) and agree to be bound by the Terms.

(e) You may not use the Services if: (i) you are not of legal age; or (ii) you are a person barred from receiving the Services under the laws of Australia or other countries.

As a Customer, you agree to comply with the following:

• (a) you will not share your profile with any other person;
• (b) you will use the Services only for purposes permitted by the Terms and applicable law;
• (c) you have sole responsibility for protecting the confidentiality of your password;
• (d) any use of your registration information by any other person is strictly prohibited;
• (e) you must not impersonate another Customer;
• (f) your content will always be accurate and up to date;
• (g) you agree not to harass or stalk another Customer;
• (h) use is limited and non-transferable;
• (i) use in commercial endeavours must comply with upstream licensing and vendor requirements;
• (j) no illegal or unauthorised use (e.g., collecting emails for spam);
• (k) automated use of the Website is prohibited;
• (l) you agree to cooperate with the delivery of goods/services.

Customers may browse the Product Catalogue, purchase goods, and self-manage details. Activity may be monitored and logged for marketing and security purposes.

Providers must submit professional profiles for review, including certifications. Once approved, they may upload content and engage with Receivers. Providers must comply with quality standards and Kritical's MSP/MSSP obligations.

Kritical sells goods and services for profit. Receivers pay all applicable fees at the time of purchase. Payments are processed via Shopify Payments, Stripe, PayPal, Square, or AfterPay. All fees are in AUD and include GST where applicable.

Kritical acts as a facilitator and does not personally refund payments. Receivers must contact the Provider directly. If unsuccessful after 14 days, Kritical may intervene to determine if a Provider should be removed.

The Website and Services are subject to copyright. Kritical Pty Ltd reserves all rights. Customers are granted a limited license to browse and print pages for personal, non-commercial use.

Use of the Website is at your own risk. Services are provided "as is" and "as available". Kritical is not liable for indirect or consequential losses except where required by Australian Consumer Law.

Competitors are not permitted to use or access any information or content on the Application for commercial gain.

Total liability is limited to the resupply of the Services. Kritical is not liable for loss of profit or reputation.

Users may terminate by notice. Kritical may terminate for breach of terms, legal requirements, or if the service is no longer commercially viable.

Parties must attempt to resolve disputes through negotiation and mediation in Melbourne, Victoria, before commencing court proceedings.

The Terms are governed by the laws of Victoria, Australia.
